The Fair Competition Commission (FCC) has invited public comments regarding the proposed acquisition by Triumph HoloCo Limited of the entire issued share capital of UNICAF Limited. Triumph HoloCo Limited is a company incorporated under the laws of the Republic of Mauritius. It is a special purpose vehicle established for the purposes of the proposed transaction and is ultimately controlled by Aterra Group, an Africa-focused private equity firm holding investments across a wide range of sectors, including food and beverages, hospitality, retail, telecommunications, technology, financial services, consumer products and services, infrastructure services, and logistics. In Mainland Tanzania, Aterra Group is reported to hold investments through Ranger Safaris Limited, a destination management company that provides guided safaris and tours to tourists originating from the United Kingdom, the United States of America, and other jurisdictions.

UNICAF Limited is a company incorporated in the Republic of Cyprus. The company operates an online and blended higher education platform that supports university-approved programmes and delivers educational opportunities to students, including vocational training and training for graduates from other universities. UNICAF delivers its programmes through partnerships with universities and educational institutions. The company does not maintain a subsidiary in Tanzania, and its activities in Mainland Tanzania are limited to the recruitment of resident students for online programmes delivered by its partner universities and educational institutions.

The proposed transaction involves the acquisition by Triumph HoloCo Limited of the entire issued share capital of UNICAF Limited. Upon completion, Triumph HoloCo Limited will acquire sole control over UNICAF Limited and its education services business.

The transaction combines an investment vehicle controlled by Aterra Group with an online higher education provider operating across multiple jurisdictions. The FCC is currently assessing whether the proposed acquisition is likely to substantially lessen competition in any relevant market in Mainland Tanzania. Interested parties have been invited to submit comments regarding any potential effects of the transaction on customers, suppliers, competitors, employees, and other affected market participants.
