SII Rail Investments' Proposed Acquisition of Traxtion (Mauritius) Limited

The East African Community Competition Authority (EACCA) has announced its intention to investigate the proposed acquisition of control over Traxtion (Mauritius) Limited (Traxtion) by SII Rail Investments GP Proprietary Limited (SII Rail). The East African Community Competition Authority (EACCA) has announced its intention to investigate the proposed acquisition of control over Traxtion (Mauritius) Limited (Traxtion) by SII Rail Investments GP Proprietary Limited (SII Rail).

The transaction involves SII Rail acquiring certain control rights under a shareholders' agreement, resulting in a change from a minority, non-controlling investment to a controlling interest in Traxtion.

SII Rail is part of the STANLIB Infrastructure Investments Group, a South African infrastructure-focused investment platform that invests across sectors including rail, energy, roads, airports, logistics, and digital infrastructure. The group has operations in several East African countries, including Tanzania, Kenya, Uganda, South Sudan, and the Democratic Republic of Congo.

Traxtion is a rail services provider operating across sub-Saharan Africa. Its activities include rail logistics services, locomotive and wagon leasing, maintenance and repair of rolling stock, supply of locomotive components and spare parts, and the provision of technical and advisory services to rail operators. Within the EAC, Traxtion controls Calabash Freight Tanzania Limited and also derives revenue from operations in the DRC.

The EACCA will assess whether the proposed transaction is likely to substantially lessen competition within the EAC or raise any public interest concerns under the East African Community Competition Act, 2006.

Interested parties, including competitors, customers, and suppliers, were invited to submit comments to the Authority by 17 August 2026.
