MMPG Acquisition of Vivo Energy Rouge Holdings

The East African Community Competition Authority (EACCA) has issued EAC Competition Authority Merger Inquiry Notice No. 15 of 2026 in relation to the proposed acquisition of MMPG Limited by Vivo Energy Rouge Holdings. The notice was issued pursuant to Regulation 8 of the EAC Competition (Mergers and Acquisitions) Regulations, 2025 following receipt of a merger notification under Section 11 of the East African Community Competition Act, 2006.

The proposed transaction involves the acquisition by MMPG Limited of Vivo Energy Rouge Holdings and its subsidiaries from Vivo Energy Overseas Holdings Limited. Following implementation, MMPG will acquire sole control of the target and, indirectly, Vivo Energy Rwanda Limited.

According to the parties’ submissions, the transaction is intended to combine the target group's established petroleum operations with the acquirer group's regional petroleum importation, logistics and distribution capabilities.

MMPG Limited MMPG is a private company incorporated in Mauritius and forms part of the Mount Meru Group. Within the EAC, the group is active in Burundi, the Democratic Republic of Congo, Kenya, Rwanda, Uganda and Tanzania. Its activities include the downstream distribution of petroleum products, transport and logistics services, convenience retail operations, gas-related businesses, and certain non-petroleum activities such as edible oil refining, soap manufacturing and animal feed inputs.

Vivo Energy Rouge Holdings The target is a newly incorporated Mauritian holding company that holds the entire issued share capital of Vivo Energy Rwanda Limited. The business operates in the petroleum sector and is engaged in the sourcing, storage, distribution and sale of petroleum and petroleum-based products, including operations conducted through Engen-branded service stations in Rwanda.

EACCA has indicated that it will assess whether the proposed transaction is likely to substantially lessen competition within the East African Community or otherwise be contrary to the public interest. Interested stakeholders, including competitors, suppliers and customers of the merging parties, have been invited to submit written representations to the Authority by 7 October 2026.
